Indemnification is another factor to take into consideration when choosing a server platform.

In service level agreements (SLA’s) and other legal contracts, indemnification is the part of an agreement that provides for one party to bear the monetary costs, either directly or by reimbursement, for losses incurred by a second party.

Microsoft looked at their volume licensing contracts in 2003 to see what they could do to increase customer satisfaction. A top issue they heard about was patent indemnification, which then was capped at the amount the customer had paid for the software.

So later that year, Microsoft lifted that cap for their volume licensing customers, who are most likely to be the target of an intellectual property lawsuit.

Today, when a volume licensing customer, a business or organisation ranging from as few as five computers to many thousands, licenses a Microsoft Window server, Microsoft provide uncapped protection for legal costs associated with a patent, copyright, trademark or trade secret claim alleging infringement by a Microsoft product.

Microsoft do this because they are proud to stand behind their products, such as the Window server. Microsoft also do this because they understand that being on the wrong end of a software patent lawsuit could cost a customer millions of pounds, and massively disrupt their business.

No vendor today stands behind Linux with full IP indemnification. It is in fact rare for open source software to provide customers with any indemnification at all.
